<p><b>Please read the Terms and Conditions carefully
before accessing, registering, or using the Turnkey Customer Resource Center.</b></p>

<p><b>ACCEPTANCE OF TERMS</b></p>

<p>By accessing or using Turnkey Computer Systems,
LLC (&ldquo;Turnkey&rdquo;) proprietary Customer Resource Center, including using any services,
downloading materials, accessing the restricted areas of this site, you agree
to and are bound by the terms and conditions set forth in this document and in
any changes thereto that Turnkey may publish from time to time (collectively,
the &ldquo;Terms and Conditions&ldquo;). <b>If you do not agree to all of the
terms and conditions contained in this document, do not register or use this
section of the site.</b></p>

<p>Turnkey may from time to time and at its sole
discretion, change the Terms and Conditions for use of the Customer Resource
Center. Your continued use of Customer Resource Center constitutes your
acceptance of the changes.  <b>Please regularly check the &ldquo;Terms and
Conditions&rdquo; link on the Customer Resource Center login screen to view the most
current terms. </b>If you breach any of the Terms and Conditions, your
authorization to access or use the Turnkey Customer Resource Center automatically
terminates, and any information downloaded or printed from this proprietary
section of Turnkey’s site must be destroyed immediately</p>

<p><b>CONDITIONS OF USE</b></p>

<p>The Turnkey Customer Resource Center is reserved
solely for customers with validly existing and enforceable End-User License
Agreements.  All Terms and Conditions of the license agreement are incorporated
into this agreement by reference.  By agreeing to register on the Customer
Resource Center you acknowledge that you have read and understand the
restrictions of use found in the End-User License Agreement and the actions,
remedies, and relief, incorporated therein. </p>

<p>All materials encompassing any software code,
including programs, tools, utilities, files, file layouts, file names, database
design, FAQ’s, updates, release notes, screen shots, and documentation that are
made accessible in the Customer Resource Center, (collectively,
&ldquo;Software&rdquo;) are copyrighted and are the intellectual property of
Turnkey or its suppliers.  Use of such Software in the Customer Resource Center
is governed by the terms of the End-User License Agreement. You agree that you
will not decompile, reverse engineer or otherwise attempt to discover the
source code of the Software.  The Software is made available solely in
accordance with the End-User License Agreement. <b>Any unauthorized use,
including access by 3<sup>rd</sup> parties, copying or distribution of the
Software is expressly prohibited by law, and may result in severe civil and
criminal penalties. </b></p>
